Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ClickBooks service ("Service"), operated by ClickBooks ("we," "our," or "us"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By accessing, browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and to comply with all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use the Service. These Terms constitute a legally binding agreement between you and ClickBooks.

2. Description of Service

ClickBooks is a software integration service that synchronizes time tracking data between ClickUp and QuickBooks Online. The Service allows users to connect their ClickUp and QuickBooks accounts to automatically sync time activity data, generate dashboard analytics, and streamline time tracking workflows between these platforms.

Third-Party API Disclaimer: ClickBooks utilizes the publicly available APIs provided by ClickUp and Intuit (QuickBooks) to facilitate data synchronization. ClickBooks is not affiliated with, endorsed by, or sponsored by ClickUp, Intuit, or QuickBooks. ClickUp, Intuit, and QuickBooks are trademarks of their respective owners. ClickBooks operates independently and is solely responsible for the Service provided. Any issues, limitations, or changes to the APIs provided by ClickUp or Intuit may affect the functionality of the Service, and ClickBooks shall not be liable for any such impacts.

3. Account Registration and Security

To use the Service, you must create an account by authenticating through OAuth2 with ClickUp or Intuit/QuickBooks. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate, current, and complete
  • Maintain the security of your account credentials and notify us immediately of any unauthorized access or use
  • Accept responsibility for all activities that occur under your account
  • Ensure that you have the legal right and authority to connect and access any third-party accounts (ClickUp, QuickBooks) that you link to the Service

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. ClickBooks is not liable for any loss or damage arising from your failure to maintain the security of your account.

4. API and Third-Party Services

The Service integrates with third-party services, including ClickUp and Intuit/QuickBooks, through their respective APIs. By using the Service, you acknowledge and agree that:

  • ClickBooks has no affiliation, partnership, or endorsement relationship with ClickUp, Intuit, or QuickBooks
  • ClickBooks utilizes only the publicly available APIs provided by these third-party services
  • Your use of third-party services is subject to their respective terms of service and privacy policies
  • ClickBooks is not responsible for the availability, accuracy, or functionality of third-party APIs or services
  • Changes to third-party APIs may affect Service functionality, and ClickBooks shall not be liable for any such impacts
  • You are responsible for ensuring you have proper authorization to access and use any third-party accounts you connect to the Service

ClickBooks disclaims all liability for any issues, interruptions, or limitations arising from third-party API availability, changes, or restrictions.

5. Subscription and Billing Terms

The Service is provided on a subscription basis. By subscribing to the Service, you agree to the following:

  • Subscription Fees: You agree to pay all subscription fees associated with your selected plan. Fees are charged in advance on a recurring basis (monthly or annually, as applicable).
  • Payment: Payments are processed through Stripe, a third-party payment processor. You agree to provide valid payment information and authorize us to charge your payment method for all fees.
  • Automatic Renewal: Unless you cancel your subscription, it will automatically renew at the end of each billing period. You authorize us to charge the renewal fee to your payment method on file.
  • Cancellation: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period, and you will continue to have access to the Service until that time.
  • Refunds: Subscription fees are non-refundable except as required by law or as otherwise specified in writing by ClickBooks.
  • Price Changes: We reserve the right to modify subscription fees at any time. We will provide notice of any price changes, and such changes will apply to subsequent billing cycles.

6. User Obligations and Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to the Service, other user accounts, or computer systems or networks connected to the Service
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Use the Service to transmit any viruses, malware, or other harmful code
  • Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks
  • Use automated systems or scripts to access the Service without our prior written consent
  • Share, transfer, or sell your account credentials to any third party
  • Use the Service to violate any third-party rights, including intellectual property rights or privacy rights

Violation of these restrictions may result in immediate termination of your account and access to the Service.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by ClickBooks and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Service without our prior written consent.

You retain ownership of any data and content you provide to the Service. By using the Service, you grant ClickBooks a limited, non-exclusive, royalty-free license to use, process, and transmit your data solely for the purpose of providing the Service to you.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by canceling your subscription and deleting your account through your account settings. Upon termination, we will delete or anonymize your personal information in accordance with our Privacy Policy, subject to applicable legal retention requirements.

All provisions of these Terms that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Disclaimers and Limitations of Liability

Service Provided "As Is": The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Warranties: ClickBooks does not warrant that the Service will be uninterrupted, secure, error-free, or free from viruses or other harmful components. We do not guarantee the accuracy, completeness, or usefulness of any information provided by the Service.

Limitation of Liability: To the maximum extent permitted by applicable law, ClickBooks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of or inability to use the Service.

Maximum Liability: In no event shall ClickBooks' total liability to you for all damages exceed the amount you paid to ClickBooks in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless ClickBooks, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights, including intellectual property rights or privacy rights.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Texas for the resolution of any disputes arising out of or relating to these Terms or the Service.

12. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights. The arbitration shall be conducted in Texas, United States.

You waive any right to a jury trial and agree that any dispute will be resolved on an individual basis and not as part of a class action or representative proceeding.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes to these Terms, we will notify you by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

It is your responsibility to review these Terms periodically for changes. If you do not agree to the modified Terms, you must stop using the Service and may cancel your account.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ClickBooks regarding the use of the Service and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
